Terms of Service

Please read these terms carefully before using Every AI.

Welcome to Every AI! By accessing or using our application (the "Service"), you agree to the following Terms of Service ("Terms"). Please read them carefully. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account or using Every AI, you agree to be bound by these Terms and any policies referenced herein, including our Privacy Policy. These Terms apply to all users of the Service.

2. Use of the Service

a. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement.

b. License to Use

Every AI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes related to invoicing, expense tracking, client management, and related financial activities, subject to these Terms.

c. Prohibited Activities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Reverse-engineer, decompile, disassemble, or attempt to discover the source code of the Service.
  • Interfere with, disrupt, or compromise the security or integrity of the Service or its systems.
  • Submit false, misleading, or inaccurate information through the Service.
  • Use the Service to send unsolicited communications (spam).
  • Resell, sublicense, or rent access to the Service.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security.

Every AI is not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.

4. Third-Party Services and Integrations

Every AI integrates with essential third-party services to provide its functionality. Your use of these integrated services may be subject to their respective terms and privacy policies. We are not responsible for the actions, content, or data handling practices of these third parties. Key third-party services include:

  • Clerk: For secure user authentication and management.
  • Stripe: For processing online payments. By connecting your Stripe account, you agree to Stripe's terms and policies.
  • Google Workspace: For authorized access to your Google Contacts, Calendar, Gmail, and Drive data to deliver invoicing, client communication, document generation, and reporting features. Our access is limited to the scopes you grant, is used solely to provide the requested functionality, is never used to develop or train generalized AI/ML models, and remains compliant with Google's Limited Use Requirements.

5. Data Privacy

Our collection and use of your personal information and business data are governed by our Privacy Policy. By using the Service, you consent to the data practices described therein.

6. Intellectual Property

All content, features, functionality, and underlying technology of the Service, including text, graphics, logos, icons, and software, are the exclusive property of Every AI or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without prior written consent.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EVERY AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of, or inability to access or use, the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL EVERY AI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO EVERY AI FOR THE PAST THREE MONTHS OF THE SERVICES IN QUESTION.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EVERY AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

9. Indemnification

You agree to defend, indemnify, and hold harmless Every AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any use of the Service's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Service.

10. Termination

We reserve the right to suspend or terminate your access to the Service, in whole or in part, at our sole discretion, without notice or liability, for any reason, including if you violate these Terms or engage in activities that we deem harmful to the Service or other users.

11. Modifications to the Service and Terms

We may modify, suspend, or discontinue the Service (or any part thereof) at any time without notice.

These Terms may be updated periodically. We will notify you of material changes by posting the revised Terms within the Service or via email. Your continued use of the Service after such changes become effective constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the ADR Institute of Canada in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Toronto, Ontario, Canada, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION.
