Terms of Service

The terms that govern your use of Every AI.

Effective Date: September 28, 2026

Welcome to Every AI! By accessing or using our application (the "Service"), you agree to the following Terms of Service ("Terms"). Please read them carefully. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account or using Every AI, you agree to be bound by these Terms and any policies referenced herein, including our Privacy Policy. These Terms apply to all users of the Service.

2. Use of the Service

a. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement.

b. License to Use

Every AI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes related to invoicing, expense tracking, client management, and related financial activities, subject to these Terms.

c. Prohibited Activities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Reverse-engineer, decompile, disassemble, or attempt to discover the source code of the Service.
  • Interfere with, disrupt, or compromise the security or integrity of the Service or its systems.
  • Submit false, misleading, or inaccurate information through the Service.
  • Use the Service to send unsolicited communications (spam).
  • Resell, sublicense, or rent access to the Service.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security.

Every AI is not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.

4. Third-Party Services and Integrations

Every AI integrates with essential third-party services to provide its functionality. Your use of these integrated services may be subject to their respective terms and privacy policies. We are not responsible for the actions, content, or data handling practices of these third parties. Key third-party services include:

  • Clerk: For secure user authentication and management.
  • Stripe: For processing online payments. By connecting your Stripe account, you agree to Stripe's terms and policies.
  • Google Workspace: For authorized access to your Google Contacts, Calendar, Gmail, and Drive data to deliver invoicing, client communication, document generation, and reporting features. Our access is limited to the scopes you grant, is used solely to provide the requested functionality, is never used to develop or train generalized AI/ML models, and remains compliant with Google's Limited Use Requirements.
  • Anthropic, OpenAI, and Google AI: For AI-powered drafting, analysis, enrichment, transcription, image, and agent features. The provider varies by feature, and the content and context needed for your request may be processed by that provider.
  • Supabase, Railway, and Resend: For database and storage infrastructure, application hosting, and email delivery.

Social Media Connections (LinkedIn and Instagram)

Every AI also offers optional connections to select third-party platforms, including LinkedIn and Instagram, which you connect using your own account credentials through a secure virtual browser session rather than an official partner API. These connections access the platform through your own authenticated session and are not endorsed by, sponsored by, or affiliated with LinkedIn, Instagram, or their respective parent companies. You are responsible for ensuring your use of the Service in connection with these platforms complies with each platform's terms of service and acceptable-use policies, and you connect such accounts at your own discretion and risk. Every AI is not responsible or liable for any action a connected platform takes against your account — including rate-limiting, restriction, suspension, or termination — arising from your connection or use of that platform through the Service. Your indemnification obligations under Section 9 (Indemnification) extend to claims arising from your connection of these accounts.

5. Data Privacy, Data Processing and Your Data

(a) Privacy. Our collection and use of personal information about you and your users is governed by our Privacy Policy.

(b) Data processing. When Every processes personal data on your behalf as part of the Service, the Every Data Processing Agreement ("DPA") forms part of these Terms and applies automatically; no signature is required. If there is a conflict between these Terms and the DPA about the processing of your personal data, the DPA controls.

(c) Ownership. You own the data you and your users put into the Service or connect to it ("Your Data"). You grant Every a limited licence to host, copy, process, transmit and display Your Data only to provide, secure and support the Service for you, and as described in the DPA.

(d) Service data. Every may collect and use information about how the Service is used and performs (such as feature usage, error and performance data, and security logs) to operate, secure, maintain and improve the Service. Where this includes personal data about your users, Every acts as a controller under the Privacy Policy.

(e) De-identified and aggregated data. Every may create and use data that is de-identified and aggregated so that it does not identify you, your users or any individual, to operate, secure and improve the Service. Every will not attempt to re-identify it.

(f) No model training. Every does not use Your Data to train generalized AI models, and uses AI providers under terms that prohibit them from training on the data Every sends.

6. Intellectual Property

All content, features, functionality, and underlying technology of the Service, including text, graphics, logos, icons, and software, are the exclusive property of Every AI or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without prior written consent.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EVERY AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of, or inability to access or use, the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL EVERY AI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO EVERY AI FOR THE PAST THREE MONTHS OF THE SERVICES IN QUESTION.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EVERY AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

9. Indemnification

You agree to defend, indemnify, and hold harmless Every AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

10. Termination

We reserve the right to suspend or terminate your access to the Service, in whole or in part, at our sole discretion, without notice or liability, for any reason, including if you violate these Terms or engage in activities that we deem harmful to the Service or other users.

11. Modifications to the Service and Terms

We may modify, suspend, or discontinue the Service (or any part thereof) at any time without notice.

These Terms may be updated periodically. We will notify you of material changes by posting the revised Terms within the Service or via email. Your continued use of the Service after such changes become effective constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the ADR Institute of Canada in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Toronto, Ontario, Canada, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION.
